1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Pulse Sports, Inc. ("Company," "we," "us," "our," or "Pulse Sports") regarding your access and use of the Pulse Sports platform, website, and related services (collectively, the "Service"). By accessing, visiting, or using any part of the Service, you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Pulse Sports is a sports training management platform designed to help training facilities, clubs, and academies manage their operations efficiently. The Service includes features for program management, session scheduling, attendance tracking, membership administration, participant communication, and financial management.

We reserve the right to modify, suspend, or discontinue the Service or any features thereof at any time without notice. We will endeavor to provide reasonable notice of material changes that negatively impact your use of the Service.

3. Account Registration

To use certain features of the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password, and you are fully responsible for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You must be at least 18 years old to create an account or enter into these Terms on behalf of an organization. If you are under 18, you may only use the Service under the supervision and with the consent of a parent or guardian.

We reserve the right to suspend or terminate your account if you provide false, inaccurate, or incomplete information, or if we discover that you have violated any provision of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates any applicable law or regulation, infringes on the rights of others, or interferes with the operation and availability of the Service.

Prohibited activities include, but are not limited to:

• Attempting to gain unauthorized access to the Service or related systems or networks
• Uploading or transmitting malware, viruses, or other harmful code
• Engaging in harassment, threats, abuse, or discriminatory conduct toward other users
• Reverse-engineering, decompiling, or disassembling the Service
• Using automated tools or scripts to access or scrape the Service
• Impersonating another person or misrepresenting your identity
• Uploading or sharing content that is illegal, obscene, or defamatory
• Interfering with the operation of the Service or other users' access to it

We reserve the right to investigate violations and take appropriate action, including termination of your account and disclosure of information to law enforcement.

5. Payment Terms

Subscription Plans

Pulse Sports offers subscription and membership plans on both a monthly and annual basis. Pricing, features, and terms are subject to change at any time. We will provide notice of material price changes before they become effective.

Membership Credits and Prepaid Services

Your organization may offer membership plans or prepaid training credits to participants through the Pulse Sports platform. These credits represent a prepaid obligation and are non-refundable. Credits may be used only for the purpose specified at the time of purchase and cannot be transferred, exchanged for cash, or applied to other services except as explicitly permitted by your organization.

Any refund requests related to membership credits or prepaid services must be directed to your organization, not to Pulse Sports. Pulse Sports is not responsible for disputes between participants and organizations regarding the use or value of credits.

Billing and Payments

All billing occurs at the end of each billing cycle unless you cancel your account before the next renewal date. Payment must be made using a valid payment method accepted by Pulse Sports. You authorize us to charge your payment method for all fees and charges incurred under your account.

If a payment fails, we will attempt to retry using the payment method on file. If payment cannot be collected, your account may be suspended or terminated. You are responsible for keeping your payment information current and accurate.

Refund Policy

Subscription fees for Pulse Sports organizational accounts are non-refundable. Membership credits and prepaid training sessions purchased through your organization are non-refundable unless explicitly stated otherwise in your organization's refund policy. Refund requests must be submitted within thirty (30) days of purchase. All refund decisions are made at the sole discretion of Pulse Sports.

6. Intellectual Property Rights

The Service, including all content, features, functionality, designs, graphics, text, and code (the "Content"), is owned by Pulse Sports or its licensors and is protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms.

You retain ownership of any content you create and upload to the Service (such as training programs, schedules, or participant information). By uploading content to the Service, you grant Pulse Sports a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content for the purpose of providing the Service.

You agree not to copy, modify, translate, or create derivative works based on the Service or its Content without our prior written consent. You may not reverse-engineer or attempt to discover the source code or underlying structure of the Service.

All trademarks, logos, and service marks associated with Pulse Sports are the exclusive property of Pulse Sports, Inc. and may not be used without our express written permission.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PULSE SPORTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO PULSE SPORTS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation of liability, so this limitation may not apply to you. In such cases, our liability is limited to the extent permitted by applicable law.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PULSE SPORTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Indemnification

You agree to indemnify, defend, and hold harmless Pulse Sports and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

9. Termination

You may terminate your account at any time by contacting our support team. Upon termination, your right to use the Service will cease immediately. However, certain provisions of these Terms will survive termination, including intellectual property rights, limitation of liability, and indemnification.

Pulse Sports may suspend or terminate your account at any time without notice if we determine that you have violated these Terms or engaged in conduct that we deem harmful to the Service or other users.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any dispute arising out of or related to these Terms or the Service.

If you are a consumer in a jurisdiction that does not allow arbitration agreements or the waiver of certain rights, those rights are not waived.

11. Dispute Resolution and Arbitration

Before initiating litigation or arbitration, you agree to attempt to resolve any dispute informally by sending a written notice to Pulse Sports describing the nature of the dispute and your proposed resolution. We will attempt to resolve the matter within thirty (30) days of receiving your notice.

If informal resolution is unsuccessful, any dispute arising out of or related to these Terms shall be resolved by binding arbitration administered by a mutually agreeable arbitrator. Arbitration will take place in Wilmington, Delaware, unless the parties agree otherwise. Each party shall bear its own costs and share the arbitrator's fees equally.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if it cannot be modified, it will be severed from these Terms. The remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Pulse Sports regarding your use of the Service and supersede all prior negotiations, representations, and agreements, whether written or oral. No course of dealing or trade practice shall modify these Terms.

14. Amendments and Modifications

Pulse Sports reserves the right to modify these Terms at any time. Material changes will be posted on our website, and your continued use of the Service following such modifications constitutes your acceptance of the amended Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service.

We will provide at least thirty (30) days' notice of material changes to these Terms.
